Subsequent to the closing of this transaction, Buyer accepts
the real property in its existing condition, "Where is, as is", and
no warranties or representations have been made or given by Seller
which are not herein expressly provided.

In the event of a default by either party hereto, in addition
to any other remedy provided herein or at law, the non-defaulting
party shall have the right to enforce the specific performance of
this Agreement.

The 2022 real estate taxes, if applicable for this lot, shall
be paid by Buyer.

The Warranty Deed shall be made to City of Athens, Tennessee.

Buyer shall be entitled to possession of the property
on the day of the closing.

Unless the parties agree otherwise, the closing of this
Agreement shall take place at the Athens City Municipal Building
on a date and time to be determined by the parties, which date
shall be within days of execution of this Agreement.

Buyer shall be responsible for all of the expenses related to
closing this transaction, except for any expense related to the
release of any lien or encumbrance placed against the property by
Seller or Seller’s predecessor in title.

This Agreement shall be governed and interpreted by the laws
of the State of Tennessee and exclusive venue for any litigation
shall lie in McMinn County, Tennessee.

This Agreement constitutes the entire Agreement between the
parties hereto and may not be modified except in writing and shall
be binding upon the heirs, assigns or successors of the parties
hereto. This Agreement may be executed in counterpart originals.

This Agreement may be executed by the parties by PDF
signatures which shall have the same effect as original signatures.

IN WITNESS WHEREOF, Seller and Buyer have signed the
counterpart copies of this Real Estate Sales Agreement on the date
set forth on each counterpart page, but so as to be effective on
the date first above written and each copy of which shall be deemed
to be an original.
